SPECIAL BOARD MEETING
July 11, 2022
A Special Meeting of the Board of Trustees of Newberry Electric Cooperative, Inc. was held at Newberry Electric Cooperative, Inc. located in Newberry County, State of South Carolina on Monday, July 11, 2022.
The meeting was called to order by Chairman Johnnie L. Dickert at 6:31 pm followed by the invocation with the determination of a quorum present.
The Secretary reported that the following Board Members were present:

Blake Brigman Melanie Hawkins William B. Lominick, Sr.
Johnnie L. Dickert Douglas Hipp John W. Nichols
Also present were President and CEO G. Keith Avery, Vice President of Engineering Kevin Shull, Senior Operational Line Foreman Benji Morris, Engineering Analyst Michael Martin, Attorney Thomas H. Pope, III, and Executive Assistant Deirdre Murphy. Trustee Brigman attended by WebEx.
Vice President of Engineering Shull and Line Foreman Morris explained the conditions at the Stoney Hill Substation. If anything major happens at the substation, it would be hard to get large equipment in there to do work, because it sits on less than one-half acre of land. More ground is needed to be able to take care major problems if they occur. Recently, land next to the substation became available for sale. If the land is purchased, it would also make it easier to tie in 3 other substations if needed.
After much discussion, a motion was made by Trustee Hipp to purchase the land if the easement and roll back fees are removed and if the price does not increase. The motion was seconded and passed without opposition.
Attorney Pope suggested that a motion be made to waive the notice of this meeting per the Bylaws since the meeting was called on Friday, July 8, 2022. Trustee Hipp made the motion to waive the notice. The motion was seconded and passed without opposition.
Engineering Analyst Michael Martin briefed the trustees on the findings of the DarkTrace software that is being tested.
President and CEO Avery presented a 10-year update to the trustees on accomplishments made from 2011 to 2021. He discussed financial comparisons, current events, economic development projects that NEC helped bring to the community, and the new organizational chart of the company. He also stated that more growth is coming to Newberry in the future.
There being no further business and without objections, Chairman Johnnie L. Dickert adjourned the July 2022 Special Board Meeting at 8:05 pm.
