REGULAR BOARD MEETING
March 29, 2021
The Regular Meeting of the Board of Trustees of Newberry Electric Cooperative, Inc. was held in the Newberry Electric Cooperative, Inc. Board Room located in Newberry County, State of South Carolina on Monday, March 29, 2021 at 6:30 pm. Chairman Johnnie L. Dickert presided.
After the call to order, invocation, and establishing members present, staff member EJ Altman presented an updated financial report regarding the Fiber project.
Trustee Doug Hipp made a motion to approve the Regular Board Meeting minutes from February 2021 as emailed. The motion was second and passed unanimously.
Finance Committee Chairman John Wayne Nichols reported that the Finance Committee met on March 23, 2021. The finance report was submitted as information. The consensus of the Board was to accept the report.
Attorney Thomas Pope stated that he did have an Attorney Report. A motion was made by Trustee Hipp to go into Executive Session. The motion was seconded and passed without opposition. After Attorney Pope updated the Board, Trustee Fulmer made a motion to reconvene into Regular Session. The motion was seconded and passed without opposition. Chairman Dickert reconvened the meeting to Regular Session.
President and CEO G. Keith Avery reviewed his activity and meetings for the month. On March 6th, he met via conference call with ECSC and Congressman Jim Clyburn. He discussed his virtual meeting with Governor Henry McMaster on March 18th.
President Avery reviewed in detail the financial and operational data for February 2021.
The amount of write offs for February is $1756.47. Trustee Hipp made a motion to
accept this amount. The motion was seconded and passed unanimously.
President Avery presented a Board Resolution to approve the proposed 2020 Deferred Revenue Plan. Trustee Hipp made a motion to accept the plan. The motion was seconded and passed unanimously.
President and CEO Avery reviewed the Engineering and Operations, Operational Support, and IT reports for the month. Engineering is continuing to work on Prosperity Substation upgrades. He also gave an updated report on the work Ellason Tree Service has completed to date.
President Avery reviewed information for the Washington Legislative Rally. It will be held virtually April 19-21, 2021. Trustees confirmed who will attend.
President Avery reminded Trustees about Newberry Electric Cooperative’s Annual Meeting, to be held outdoors at Mid-Carolina High School, on April 7th, 2021.
President Avery discussed an overview of the ECSC Summer Conference to take place on June 7th -9th, 2021 in SC. Trustees confirmed who will attend.
The Board reviewed the Central Electric Power Cooperative’s March Annual Meeting and Board Meeting Summary and accepted it as information.
President Avery stated the Touchstone Energy Cooperatives Annual Meeting will take place on March 31, 2021 at 2 p.m. This will be held virtually. Trustees confirmed who would attend.
The Board reviewed the Central Electric Power Cooperative’s March Finance Audit and Risk Committee Meeting Summary and accepted it as information.
President and CEO G. Keith Avery confirmed May’s Board Meeting will take place on Thursday, May 27th this year due to the Memorial Day holiday on May 31st.
President Avery gave an overview of the minutes for the Electric Cooperatives of South Carolina Communications Committee Meeting held virtually on January 27, 2021. The report was accepted as information.
President Avery stated the Trustee Association Virtual Meeting will take place on April 7, 2021 from 10 a.m. to 12:00 p.m. Trustees confirmed who will attend.
There being no further business and without objections, Chairman Johnnie L. Dickert
adjourned the March 2021 Regular Board Meeting at 8:15 pm.
